By accessing or using ReplyAgent ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. The Service is operated by ReplyAgent and is designed to help cold email agencies manage and automate email responses using AI.
ReplyAgent provides AI-powered email response management tools that integrate with Smartlead. The Service includes automated email classification, draft reply generation, performance analytics, and campaign management features. The Service requires a valid Smartlead account and API key to function.
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep your account information up to date.
The Service requires you to provide your Smartlead API key. By providing your API key, you authorize ReplyAgent to access your Smartlead account data on your behalf. Your API keys are encrypted at rest using AES-256-GCM encryption. You are responsible for ensuring your use of the Service complies with Smartlead's terms of service and API usage policies.
The Service operates on a credit-based system. New accounts receive trial credits. Additional credits can be purchased through the Service. Credits are non-transferable between accounts. All payments are processed through Stripe. Prices are subject to change with 30 days' notice.
You agree not to: (a) use the Service to send spam or unsolicited emails in violation of applicable laws; (b) attempt to gain unauthorized access to other users' accounts or data; (c) use the Service to process or store data in violation of any applicable privacy laws; (d) reverse engineer, decompile, or attempt to extract the source code of the Service; (e) use the Service in any way that could damage, disable, or impair the Service.
The Service uses artificial intelligence to classify emails and generate draft replies. AI-generated content is provided as suggestions only. You are solely responsible for reviewing, editing, and approving any AI-generated replies before they are sent. ReplyAgent does not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content.
You retain ownership of all data you provide to the Service, including email content, API keys, and configuration settings. ReplyAgent does not claim ownership of your data. We may use anonymized, aggregated data to improve the Service.
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.
To the maximum extent permitted by law, ReplyAgent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
Either party may terminate this agreement at any time. Upon termination, your access to the Service will be revoked and your data will be retained for 30 days before permanent deletion. You may request an export of your data before termination.
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
